1. Acceptance of Terms

1.1 By accessing our website, using our services, or entering into a service agreement with Majestik AI B.V. (“Majestik AI,” “we,” “us,” “our”), you agree to these Terms and Conditions.

1.2 You must be at least 16 years old and have the legal capacity to enter into binding contracts.

1.3 If accepting on behalf of an organization, you warrant you have authority to bind that organization.

2. Services Provided

2.1 AI Automation Services: Majestik AI provides AI-powered automation solutions including:

  • AI chatbots and virtual assistants
  • Automated lead capture and management systems
  • Email and SMS automation
  • Review management automation
  • Website development with AI integration
  • CRM platform implementation (Majestik AI Studio)
  • AI-powered content creation
  • Voice outreach systems

2.2 Service Packages: Services are delivered through defined packages (AI Lead Magnet, Growth AI, AI Command Center, Enterprise) with specific features and pricing as detailed in your service agreement.

2.3 EU AI Act Compliance: Our AI systems are classified as “limited risk” and comply with EU AI Act requirements. You will always be informed when interacting with AI systems.

3. Service Implementation

3.1 Implementation Timeline: Standard implementation within 10 business days from complete information receipt.

3.2 Trial Period: 7-day free trial available for eligible services. Trial terms specified in service agreement.

3.3 Service Modifications: Customizations beyond standard packages may affect timeline and pricing.

4. Client Responsibilities

4.1 You must:

  • Provide accurate, complete information for service delivery
  • Grant necessary access to existing systems for integration
  • Respond to information requests within 48 hours
  • Ensure legal compliance for your use of our services
  • Maintain confidentiality of login credentials
  • Use services only for lawful business purposes

4.2 Prohibited Uses: You may not use our services for:

  • Illegal activities or fraud
  • Spam or unsolicited communications violating applicable laws
  • Harassment or harmful content
  • Violation of third-party rights
  • Activities that could damage our reputation

5. Payment Terms

5.1 Pricing Structure:

  • Setup fees due upon contract signing
  • Monthly subscription fees billed in advance
  • Payment methods: bank transfer (SEPA), credit card, direct debit

5.2 Payment Terms:

  • Invoices issued monthly in advance
  • Payment due within 14 days of invoice date
  • Late payments incur 1.5% monthly interest
  • VAT added as applicable under EU law

5.3 Refund Policy:

  • 30-day satisfaction guarantee on setup fees
  • Monthly fees non-refundable after service commencement
  • Pro-rata refunds for service failures exceeding SLA

6. Intellectual Property

6.1 Majestik AI Property: We retain all rights to:

  • Our platform, software, and methodologies
  • AI models and algorithms
  • Training materials and documentation
  • Majestik AI branding and trademarks

6.2 Client Property: You retain ownership of:

  • Your business data and content
  • Your branding and trademarks
  • Custom content created for your use

6.3 License Grant: We grant you a non-exclusive, non-transferable license to use our services during the subscription term.

7. Data Protection

7.1 Personal data processing is governed by our Privacy Policy at www.majestikai.com/privacy

7.2 We act as Data Processor for your customer data under GDPR. Data Processing Agreement available upon request.

7.3 AI Data Usage: Your data is not used for AI training without explicit consent.

8. Service Level Agreement (SLA)

8.1 Availability: 99.5% uptime guarantee for platform services

8.2 Support Response Times:

  • Critical issues: 4 hours
  • Standard issues: 24 hours
  • General inquiries: 48 hours

8.3 Remedies: Service credits for SLA breaches as specified in service agreement

9. Warranties and Disclaimers

9.1 Our Warranties: We warrant that:

  • Services will be performed with reasonable skill and care
  • Services will materially conform to specifications
  • We have the right to provide the services

9.2 AI-Specific Disclaimers:

  • AI outputs may contain errors and require human review
  • AI performance depends on data quality and volume
  • Results may vary based on use case and implementation

9.3 Disclaimer: Services provided “as is” beyond express warranties. We disclaim implied warranties of merchantability and fitness for particular purpose to the maximum extent permitted by law.

10. Limitation of Liability

10.1 Liability Cap: Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

10.2 Excluded Damages: We are not liable for:

  • Indirect, incidental, or consequential damages
  • Lost profits or business opportunities
  • Data loss (except as required under GDPR)
  • Third-party claims

10.3 Exceptions: Limitations do not apply to:

  • Gross negligence or willful misconduct
  • Data protection breaches under GDPR
  • Death or personal injury

11. Indemnification

11.1 You indemnify us against claims arising from:

  • Your breach of these terms
  • Your illegal or unauthorized use of services
  • Your violation of third-party rights
  • Content you provide or generate

11.2 We indemnify you against third-party IP infringement claims related to our services.

12. Termination

12.1 Termination by You:

  • Monthly subscriptions: 30 days written notice
  • Annual subscriptions: 60 days written notice before renewal

12.2 Termination by Us:

  • Immediately for material breach
  • 30 days notice for convenience
  • Immediately for non-payment beyond 30 days

12.3 Effect of Termination:

  • Access to services ceases
  • Data export available for 30 days
  • Fees paid are non-refundable
  • Confidentiality obligations survive

13. Confidentiality

13.1 Both parties shall maintain confidentiality of:

  • Business information
  • Technical specifications
  • Pricing and financial information
  • Customer data

13.2 Confidentiality obligations survive termination for 5 years.

14. Force Majeure

14.1 Neither party liable for delays due to circumstances beyond reasonable control including:

  • Natural disasters
  • Government actions
  • Pandemic restrictions
  • Internet or infrastructure failures

15. Dispute Resolution

15.1 Governing Law: These terms are governed by Dutch law.

15.2 Jurisdiction: Courts of Amsterdam, Netherlands have exclusive jurisdiction.

15.3 Mediation: Parties agree to attempt mediation before litigation.

15.4 EU Online Dispute Resolution: EU consumers may use the ODR platform at ec.europa.eu/consumers/odr

16. Modifications to Terms

16.1 We may modify these terms with 30 days notice via:

  • Email notification
  • Platform notification
  • Website announcement

16.2 Continued use after modifications constitutes acceptance.

16.3 Material adverse changes allow termination without penalty.

17. Severability

17.1 If any provision is invalid or unenforceable, remaining provisions continue in full force.

17.2 Invalid provisions will be replaced with valid provisions achieving similar economic effect.

18. Entire Agreement

18.1 These terms, service agreement, and Privacy Policy constitute the entire agreement.

18.2 These terms supersede all prior agreements and understandings.

19. Assignment

19.1 You may not assign these terms without our written consent.

19.2 We may assign these terms to affiliates or successors.
